Scope<\/h3>\n\n<p class=\"wp-block-paragraph\">1.1 These General Terms and Conditions (hereinafter &#8220;GTC&#8221;) govern the contractual relationship between [Placeholder: First and last name], acting under the brand &#8220;agency-atelier&#8221; (hereinafter &#8220;Provider&#8221;), and the customer (hereinafter &#8220;Customer&#8221;) regarding the use of the web-based software platform &#8220;agency-atelier&#8221; (hereinafter &#8220;Platform&#8221; or &#8220;Service&#8221;).<\/p>\n\n<p class=\"wp-block-paragraph\">1.2 The Service is directed exclusively at businesses, self-employed individuals, freelancers and other persons using the Service in the course of their professional or commercial activity (B2B). The Service is not directed at consumers within the meaning of consumer protection law.<\/p>\n\n<p class=\"wp-block-paragraph\">1.3 By registering and using the Service, the Customer accepts these GTC. Deviating or conflicting terms of the Customer shall apply only where the Provider has expressly agreed to them in writing.<\/p>\n\n<h3 class=\"wp-block-heading\">2. Subject Matter and Description of Services<\/h3>\n\n<p class=\"wp-block-paragraph\">2.1 The Provider makes available to the Customer a web-based SaaS platform for business management. Depending on the selected subscription, the scope of functions includes in particular: accounting, invoicing including QR invoices, quotes, and project and time management.<\/p>\n\n<p class=\"wp-block-paragraph\">2.2 This is a pure software subscription (&#8220;Software as a Service&#8221;). The software is provided via the internet; the Customer does not receive a physical copy or a copy intended for permanent download.<\/p>\n\n<p class=\"wp-block-paragraph\">2.3 The specific scope of functions is determined by the selected subscription tier and any booked add-on modules (&#8220;Add-ons&#8221;), as described on the website. The Provider is entitled to further develop, improve and adapt individual functions of the Service, provided the core utility owed under the contract is maintained.<\/p>\n\n<p class=\"wp-block-paragraph\">2.4 The Platform is a management tool. It does not replace tax, accounting or legal advice. The Customer is solely responsible for the accuracy, completeness and legally compliant use of the data entered (in particular vis-\u00e0-vis tax authorities).<\/p>\n\n<h3 class=\"wp-block-heading\">3. Contract Formation and Registration<\/h3>\n\n<p class=\"wp-block-paragraph\">3.1 Use of the Service requires the creation of a user account. The Customer undertakes to provide truthful and complete information upon registration and to keep it up to date.<\/p>\n\n<p class=\"wp-block-paragraph\">3.2 The contract is formed as soon as the Customer completes the registration process and the Provider activates access to the Service.<\/p>\n\n<p class=\"wp-block-paragraph\">3.3 The Customer is responsible for maintaining the confidentiality of their login credentials and is liable for all activities carried out through their account to the extent they are at fault.<\/p>\n\n<h3 class=\"wp-block-heading\">4. Free Trial Period<\/h3>\n\n<p class=\"wp-block-paragraph\">4.1 The Provider may offer a free trial period of 14 days. Activation of the trial period requires the entry of a valid credit card.<\/p>\n\n<p class=\"wp-block-paragraph\">4.2 No charges are incurred during the trial period. If the Customer does not cancel before the end of the trial period, the subscription automatically converts to the paid subscription selected by the Customer, and the credit card on file will be charged accordingly.<\/p>\n\n<p class=\"wp-block-paragraph\">4.3 The Provider will send a reminder email before the trial period expires (generally two days before the first charge). The provisions of the Refund and Cancellation Policy apply additionally.<\/p>\n\n<h3 class=\"wp-block-heading\">5. Pricing and Payment<\/h3>\n\n<p class=\"wp-block-paragraph\">5.1 The prices listed on the website at the time of booking apply. Subscription tiers are: Solo CHF 19, Pro CHF 79 and Business CHF 199, each per month, plus any booked add-ons.<\/p>\n\n<p class=\"wp-block-paragraph\">5.2 Billing occurs monthly or annually, as selected by the Customer, in advance in each case. The subscription renews automatically for the selected billing period unless cancelled in due time (see clause 6).<\/p>\n\n<p class=\"wp-block-paragraph\">5.3 Payment processing is handled by the external payment service provider <strong>Payrexx<\/strong> (Payrexx AG, Switzerland). By providing payment details, the Customer authorises the Provider to collect amounts due on a recurring basis via Payrexx. The payment service provider&#8217;s terms applicable to payment processing apply additionally.<\/p>\n\n<p class=\"wp-block-paragraph\">5.4 The Provider is currently not subject to VAT; no VAT is shown.<\/p>\n\n<p class=\"wp-block-paragraph\">5.5 If the Customer falls into arrears with a payment, the Provider is entitled, following prior notice, to temporarily suspend access to the Service until the outstanding amounts have been settled.<\/p>\n\n<p class=\"wp-block-paragraph\">5.6 Price changes will be communicated to the Customer in text form (e.g. by email) at least 30 days before taking effect. They apply at the earliest from the next billing period. If the Customer does not agree to a price change, they may cancel the subscription effective as of the date the change takes effect.<\/p>\n\n<h3 class=\"wp-block-heading\">6. Term and Cancellation<\/h3>\n\n<p class=\"wp-block-paragraph\">6.1 The subscription runs for an indefinite period and renews automatically for the selected billing period (monthly or annual) in each case.<\/p>\n\n<p class=\"wp-block-paragraph\">6.2 The Customer may cancel the subscription at any time effective at the end of the current billing period. Cancellation is made simply through the user account or by email to <a href=\"mailto:support@agency-atelier.com\" target=\"_blank\" rel=\"noreferrer noopener\">support@agency-atelier.com<\/a> .<\/p>\n\n<p class=\"wp-block-paragraph\">6.3 Upon cancellation, access remains active until the end of the already paid period. Fees already paid will not be refunded on a pro rata basis, subject to the provisions of the Refund and Cancellation Policy.<\/p>\n\n<p class=\"wp-block-paragraph\">6.4 The Provider may terminate the contractual relationship for good cause (in particular in the event of a material breach of these GTC) at any time with immediate effect.<\/p>\n\n<p class=\"wp-block-paragraph\">6.5 After termination of the contract, the Customer may export their data within a reasonable period. The Provider is thereafter entitled to delete the Customer&#8217;s data in accordance with statutory retention obligations and the data protection provisions.<\/p>\n\n<h3 class=\"wp-block-heading\">7. Availability and Maintenance<\/h3>\n\n<p class=\"wp-block-paragraph\">7.1 The Provider strives to ensure the highest possible availability of the Service but does not guarantee any specific uninterrupted availability.<\/p>\n\n<p class=\"wp-block-paragraph\">7.2 Outages due to maintenance work, software updates, disruptions outside the Provider&#8217;s sphere of influence (in particular at internet, hosting or third-party providers) and force majeure do not give rise to claims by the Customer to the extent permitted by law.<\/p>\n\n<p class=\"wp-block-paragraph\">7.3 Scheduled maintenance work will, where possible, be announced in advance and scheduled during low-traffic periods.<\/p>\n\n<h3 class=\"wp-block-heading\">8. Customer Obligations<\/h3>\n\n<p class=\"wp-block-paragraph\">8.1 The Customer undertakes to use the Service only in accordance with applicable law and these GTC.<\/p>\n\n<p class=\"wp-block-paragraph\">8.2 The Customer must not misuse the Service, in particular: impair the security or integrity of the Service, gain unauthorised access, place excessive automated load on the Service or infringe the rights of third parties.<\/p>\n\n<p class=\"wp-block-paragraph\">8.3 The Customer is solely responsible for the content and data they enter. They ensure that they hold the necessary rights and consents, in particular with regard to personal data of third parties.<\/p>\n\n<p class=\"wp-block-paragraph\">8.4 The Customer bears co-responsibility for backing up their own data to the extent that export functions are available to them.<\/p>\n\n<h3 class=\"wp-block-heading\">9. Data Protection<\/h3>\n\n<p class=\"wp-block-paragraph\">9.1 The Provider processes personal data in accordance with the Swiss Federal Act on Data Protection (FADP) and \u2014 where applicable \u2014 the GDPR. Details regarding the processing of personal data are governed by the separate Privacy Policy: [Placeholder: link to Privacy Policy].<\/p>\n\n<p class=\"wp-block-paragraph\">9.2 Where the Provider processes personal data on behalf of the Customer, a separate data processing agreement may be entered into at the Customer&#8217;s request.<\/p>\n\n<h3 class=\"wp-block-heading\">10. Warranty<\/h3>\n\n<p class=\"wp-block-paragraph\">10.1 The Provider supplies the Service with reasonable care but does not warrant that the Service will be error-free, uninterrupted or suitable for any particular purpose of the Customer.<\/p>\n\n<p class=\"wp-block-paragraph\">10.2 The Customer shall report detectable defects within a reasonable period. The Provider will remedy reported, reproducible defects to the extent reasonably practicable.<\/p>\n\n<h3 class=\"wp-block-heading\">11. Liability<\/h3>\n\n<p class=\"wp-block-paragraph\">11.1 The Provider is liable only for damages caused by intentional misconduct or gross negligence.<\/p>\n\n<p class=\"wp-block-paragraph\">11.2 Liability for slight negligence, indirect damages, consequential damages, loss of profit, loss of data and third-party claims is excluded to the extent permitted by law.<\/p>\n\n<p class=\"wp-block-paragraph\">11.3 Where the Provider&#8217;s liability exists, it is limited per claim to the amount the Customer paid for the Service in the twelve months preceding the damaging event.<\/p>\n\n<p class=\"wp-block-paragraph\">11.4 The foregoing limitations of liability do not apply in cases of personal injury or where a limitation of liability is mandatorily excluded by law.<\/p>\n\n<h3 class=\"wp-block-heading\">12. Amendments to the GTC<\/h3>\n\n<p class=\"wp-block-paragraph\">12.1 The Provider is entitled to amend these GTC. Amendments will be communicated to the Customer in text form (e.g. by email) at least 30 days before taking effect.<\/p>\n\n<p class=\"wp-block-paragraph\">12.2 If the Customer does not object within 30 days or continues to use the Service after the amendments take effect, the amended GTC are deemed accepted. If the Customer objects, either party may terminate the contractual relationship effective as of the date the amendment takes effect.<\/p>\n\n<h3 class=\"wp-block-heading\">13. Final Provisions<\/h3>\n\n<p class=\"wp-block-paragraph\">13.1 Should any provision of these GTC be invalid, the validity of the remaining provisions shall be unaffected. The invalid provision shall be replaced by a rule that comes closest to its economic purpose.<\/p>\n\n<p class=\"wp-block-paragraph\">13.2 The transfer of rights and obligations under this contract by the Customer requires the Provider&#8217;s prior consent.<\/p>\n\n<h3 class=\"wp-block-heading\">14. Governing Law and Jurisdiction<\/h3>\n\n<p class=\"wp-block-paragraph\">14.1 This contractual relationship is governed exclusively by Swiss law, to the exclusion of conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).<\/p>\n\n<p class=\"wp-block-paragraph\">14.2 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Biel, Switzerland, unless mandatory statutory provisions provide for another place of jurisdiction.<br\/><\/p>\n\n<p class=\"wp-block-paragraph\"><em>As of: 15 June 2026<\/em><\/p>\n\n<p class=\"wp-block-paragraph\"><\/p>\n","protected":false},"excerpt":{"rendered":"<p>General Terms and Conditions (GTC) 1.
